服務條款
1.條款的接受與資格
使用本服務,您聲明並保證:您已年滿十八(18)歲且具完全行為能力;若您代表某工作室或法人(「業者」),您聲明您有權使其受本條款拘束。您同意我們得以電子方式(於本服務內、Email、LINE/WhatsApp 等)向您發送與本服務有關之通知,且此等電子通知符合任何法定書面通知之要求。
2.定義
- 本服務/平台:OpenBiz-Booking 提供的線上預約管理軟體。
- 業者:使用本平台管理預約的工作室或其經營者。
- 客戶:透過業者的預約頁面進行預約的終端使用者。
- 預約:客戶與業者之間就特定服務與時段所成立的安排。
3.服務說明與方案
本平台為工作室提供下列工具:專屬線上預約頁(網址形如 booking.openbiz.work/工作室代稱)、視覺化時段選擇與資料庫層級的即時防重複預約、客戶資料與私人備註、跨通道通知(LINE/WhatsApp/Email)與約 24 小時前自動提醒、加入行事曆(.ics)、店家照片上傳(JPG/PNG/WebP/SVG,單檔 5MB 上限)、5 套客戶端版型,以及業者後台行事曆與管理介面。
本服務目前處於早期(MVP)階段,功能可能隨時調整或變更,並不經手任何金流、付款或訂金;服務費用之收取與退費,由業者與客戶自行處理。
試用與訂閱:新業者享有約 3 個月(90 天)免費試用,可隨時取消;試用結束後須訂閱方能繼續接受新預約。帳號狀態依序為「試用 → 有效 → 寬限期 → 凍結 → 封存」;進入寬限/凍結後帳號為唯讀並可匯出資料,期間之資料處理依隱私政策辦理。MVP 階段為人工收款。
4.預約的性質(重要)
本平台僅為協助安排預約的工具。實際的服務契約存在於客戶與業者之間,本平台並非該服務的提供者、仲介或締約方。
- 服務的內容、品質、安全、價格與履行,完全由業者負責。
- 取消政策由各業者自訂(例如取消截止時數)。MVP 階段,逾期取消僅予告知,不收取費用。
- 因預約或服務本身所生之任何爭議、損害或求償,應由客戶與業者直接解決,您同意免除本平台於此等爭議中的一切責任。
5.帳號與業者責任
- 業者應確保帳號資訊正確、妥善保管登入憑證,並對其帳號下的所有活動負完全責任。
- 就業者向其客戶收集與處理之個人資料,業者為資料控制者,應自行取得合法處理基礎與必要同意,並遵守適用之資料保護法規(另見隱私政策)。
- 業者透過後台代客戶建立預約(電話/現場客人)時,係由業者於線下收集第三方客戶之個人資料並輸入本平台;業者就此等資料應自行具備合法基礎並善盡告知義務。
- 業者不得將平台用於非法、詐欺、騷擾、侵害他人權利或違反公序良俗之用途。
6.業者內容與授權
業者上傳之內容(如店家照片、文字、服務資訊,「業者內容」)之權利仍歸業者。業者聲明並保證:其對業者內容擁有必要之權利,且該內容不違法、不侵害任何第三方權利、不含惡意程式或誤導資訊。業者授予本平台為提供、運作與推廣本服務所必要之非專屬、全球、免權利金之使用授權。我們保留(但無義務)審查並移除我們合理認為違反本條款或法律之內容之權利。
7.可接受使用
您同意不從事下列行為:干擾或破壞本服務;嘗試未經授權之存取;規避安全機制;逆向工程;大量或自動化抓取;上傳惡意程式;發送垃圾訊息或騷擾;轉售或再授權本服務;或以任何方式侵害他人之合法權益或違反適用法律。
8.服務可用性(無服務水準承諾)
本服務以「現狀」與「現有」基礎提供。我們不保證服務不中斷、即時、安全或無錯誤,亦不提供任何服務水準(SLA)承諾。我們得為維護、更新或安全事由,於必要時暫停或限制本服務之全部或一部,並將盡合理努力(於可行時)事先通知。
9.第三方服務
本服務之通知(LINE、WhatsApp/Twilio、Email/Resend)、儲存(Cloudflare R2)與網站分析(Google Analytics,經您同意後啟用)等功能依賴第三方服務,各有其自身條款。對於第三方服務之延遲、中斷、變更或失誤(包括通知未送達或延遲送達),於法律允許之最大範圍內,我們不負責任。
10.智慧財產權
本平台之軟體、介面、商標、設計與內容(業者內容除外)均屬 OpenBiz-Booking 或其授權人所有,受智慧財產權法保護。未經書面同意,您不得重製、修改、散布或建立衍生著作。
11.免責聲明
在法律允許之最大範圍內,本服務不就下列事項作任何明示或默示之擔保:適售性、特定目的適用性、不侵權、服務不中斷或無錯誤、或能帶來任何預約、客流或營收成果。您理解使用本服務之風險由您自行承擔。
12.責任限制
在法律允許之最大範圍內,OpenBiz-Booking 及其負責人、員工與供應商,對下列損害不負責任:(a) 任何間接、附隨、特別、懲罰性或衍生性損害;(b) 利潤、商譽、資料或預期節省之損失;(c) 因客戶與業者間之預約或服務所生之任何損害。
在任何情況下,我們對您之總累積責任,以下列較高者為上限:(i) 您於請求權發生前十二(12)個月內,就本服務實際支付予我們之費用;或 (ii) 新台幣 1,000 元(或加幣 100 元)。
例外:本條款不排除或限制依法不得排除或限制之責任(例如因故意或重大過失、詐欺所致之責任,或法律明定不得免除之消費者法定權利)。
13.賠償(補償)
您(業者)同意就因下列事項所生或與之相關之任何第三方索賠、責任、損害、損失與費用(含合理律師費),為 OpenBiz-Booking 進行抗辯、補償並使其免受損害:(a) 您使用本服務之行為;(b) 您上傳或提供之業者內容;(c) 您違反本條款或任何適用法律(含資料保護法規);(d) 您與您的客戶之間之爭議;(e) 您侵害任何第三方之權利。
14.資料與備份
我們會盡合理努力保護並備份資料(見隱私政策)。惟於法律允許之最大範圍內,我們不對任何資料遺失、毀損或無法存取負賠償責任;業者應自行保存其營業所需之必要記錄。
15.隱私
我們對個人資料的處理方式,詳見隱私政策,該政策為本條款之一部分。
16.期間、暫停與終止
您可隨時停止使用本服務。當您違反本條款,或為保護本服務、其他使用者或第三方,或依法律要求時,我們得暫停或終止您之存取(必要時不另事先通知)。終止後,相關資料之處理依隱私政策辦理。
17.條款存續
依其性質應於終止後繼續有效之條款(包括但不限於第 6、10、11、12、13、14、20、21 條),於本條款終止後仍持續有效。
18.不可抗力
對於因超出我們合理控制範圍之事由(包括天災、戰爭、罷工、網路或電力中斷、第三方服務失靈、政府行為或法令變更等)所致之遲延或無法履行,我們不負責任。
19.服務與條款變更
我們可能隨時新增、修改或停止部分或全部服務功能,並可能不時修訂本條款。重大變更將於本頁公告並更新日期;必要時另以 Email 通知。於變更後繼續使用本服務,視為接受修訂後之條款。
20.準據法與管轄法院
本條款之解釋與適用,以中華民國(台灣)法律為準據法(排除其國際私法之法律衝突規定)。因本條款或本服務所生之爭議,雙方合意以臺灣臺北地方法院為第一審之專屬管轄法院。惟若您所在地之強制性消費者保護法律賦予您於當地法院提起訴訟之權利,於該範圍內此項權利不受影響。
21.一般條款
- 完整合意:本條款(連同隱私政策與 Cookie 政策)構成雙方就本服務之完整合意,取代先前一切口頭或書面協議。
- 可分割性:若本條款任一條款被認定無效或不可執行,其餘條款仍完全有效。
- 不棄權:我們未行使或遲延行使任何權利,不構成對該權利之棄權。
- 權利轉讓:未經我們書面同意,您不得轉讓本條款下之權利義務;我們得因合併、收購或資產移轉而轉讓本條款。
- 無代理關係:雙方為獨立契約當事人;本條款不構成任何代理、合夥、合資或僱傭關係。
- 語言:本條款備有中、英文版本;如有歧義,以繁體中文版本為準。

Terms of Service
1.Acceptance & eligibility
By using the Service, you represent and warrant that you are at least eighteen (18) years old and have full legal capacity; and, where you act for a studio or legal entity (the "Business"), that you are authorised to bind it to these Terms. You agree that we may send you notices relating to the Service electronically (in-product, by email, LINE/WhatsApp, etc.), and that such electronic notices satisfy any legal requirement that a notice be in writing.
2.Definitions
- Service / Platform — the online booking-management software provided by OpenBiz-Booking.
- Business — a studio or its operator that uses the Platform to manage bookings.
- Customer — an end user who books through a Business's booking page.
- Booking — an arrangement between a Customer and a Business for a specific service and time slot.
3.The Service & plans
The Platform provides studios with: a dedicated online booking page (a URL like booking.openbiz.work/studio-handle), visual time-slot selection with database-level real-time double-booking prevention, customer records and private notes, multi-channel notifications (LINE / WhatsApp / Email) with an automated reminder ~24 hours before, add-to-calendar (.ics), studio photo uploads (JPG / PNG / WebP / SVG, 5 MB per file), 5 customer-facing themes, and an admin calendar and dashboard.
The Service is in an early (MVP) stage and features may change at any time, and it does not handle any payments or deposits; charging and refunds for services are handled directly between the Business and the Customer.
Trial & subscription: new Businesses get roughly a 3-month (90-day) free trial, cancellable anytime; after the trial a subscription is required to keep accepting new bookings. Account states run "trial → active → grace → frozen → archived"; on grace/frozen the account is read-only with data export available, and data handling follows the Privacy Policy. Billing is manual in the MVP stage.
4.Nature of bookings (important)
The Platform is only a tool that helps arrange bookings. The actual service contract is between the Customer and the Business; the Platform is not the provider of, intermediary for, or a party to, that service.
- The content, quality, safety, price and performance of a service are solely the Business's responsibility.
- Cancellation policy is set by each Business (e.g. a cancellation cut-off in hours). In the MVP stage, late cancellations are noted only and not charged.
- Any dispute, damage or claim arising from a booking or the service itself is to be resolved directly between Customer and Business, and you release the Platform from all liability in such disputes.
5.Accounts & Business responsibilities
- Businesses must keep account information accurate, safeguard credentials, and are fully responsible for all activity under their account.
- For personal data a Business collects from its customers, the Business is the data controller and must obtain a lawful basis and any required consents and comply with applicable data-protection laws (see the Privacy Policy).
- When a Business creates bookings on a customer's behalf via the admin (phone / walk-in), it is inputting third-party customer data it collected offline; the Business must have its own lawful basis and provide any required notice for such data.
- Businesses must not use the Platform for unlawful, fraudulent, harassing, infringing or otherwise improper purposes.
6.Business content & licence
Content uploaded by a Business (e.g. studio photos, text, service information, "Business Content") remains the Business's. The Business represents and warrants that it has the necessary rights to the Business Content and that it is not unlawful, infringing, misleading, or malicious. The Business grants us a non-exclusive, worldwide, royalty-free licence to use it as necessary to provide, operate and promote the Service. We reserve the right (but have no obligation) to review and remove content we reasonably believe violates these Terms or the law.
7.Acceptable use
You agree not to: interfere with or disrupt the Service; attempt unauthorised access; circumvent security; reverse engineer; perform bulk or automated scraping; upload malicious code; send spam or harass; resell or sublicense the Service; or otherwise infringe the lawful rights of others or violate applicable law.
8.Service availability (no service-level commitment)
The Service is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, timely, secure or error-free, and we provide no service-level (SLA) commitment. We may suspend or restrict all or part of the Service for maintenance, updates or security reasons, using reasonable efforts to give prior notice where practicable.
9.Third-party services
Features such as notifications (LINE, WhatsApp/Twilio, email/Resend), storage (Cloudflare R2) and website analytics (Google Analytics, enabled after your consent) rely on third-party services with their own terms. To the maximum extent permitted by law, we are not responsible for delays, interruptions, changes or failures of third-party services (including notices not being delivered or being delayed).
10.Intellectual property
The Platform's software, interface, trademarks, design and content (excluding Business Content) belong to OpenBiz-Booking or its licensors and are protected by intellectual-property law. You may not copy, modify, distribute or create derivative works without written consent.
11.Disclaimers
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or that it will generate any bookings, footfall or revenue. You use the Service at your own risk.
12.Limitation of liability
To the maximum extent permitted by law, OpenBiz-Booking and its officers, employees and suppliers are not liable for: (a) any indirect, incidental, special, punitive or consequential damages; (b) loss of profits, goodwill, data or anticipated savings; or (c) any damage arising from a booking or service between a Customer and a Business.
In any event, our total aggregate liability to you is capped at the greater of: (i) the fees you actually paid us for the Service in the twelve (12) months before the claim arose; or (ii) NT$1,000 (or CA$100).
Exception: nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (such as liability for wilful misconduct, gross negligence or fraud, or statutory consumer rights that cannot be waived).
13.Indemnification
You (the Business) agree to defend, indemnify and hold OpenBiz-Booking harmless from any third-party claim, liability, damage, loss and expense (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Business Content; (c) your breach of these Terms or any applicable law (including data-protection laws); (d) a dispute between you and your customers; or (e) your infringement of any third-party rights.
14.Data & backups
We use reasonable efforts to protect and back up data (see the Privacy Policy). However, to the maximum extent permitted by law, we are not liable for any loss, corruption of, or inability to access data; Businesses should keep their own records as needed for their operations.
15.Privacy
How we handle personal data is described in our Privacy Policy, which forms part of these Terms.
16.Term, suspension & termination
You may stop using the Service at any time. We may suspend or terminate your access where you breach these Terms, to protect the Service, other users or third parties, or as required by law (without prior notice where necessary). Data handling after termination follows the Privacy Policy.
17.Survival
Provisions that by their nature should survive termination (including, without limitation, Sections 6, 10, 11, 12, 13, 14, 20 and 21) continue in effect after these Terms end.
18.Force majeure
We are not liable for delay or failure to perform due to causes beyond our reasonable control (including acts of God, war, strikes, network or power outages, third-party service failures, or governmental or legal changes).
19.Changes to the Service & Terms
We may add to, modify or discontinue parts or all of the Service, and may revise these Terms from time to time. Material changes will be posted here with an updated date and, where appropriate, notified by email. Continued use after changes constitutes acceptance of the revised Terms.
20.Governing law & jurisdiction
These Terms are governed by the laws of the Republic of China (Taiwan), excluding its conflict-of-laws rules. The parties agree that the Taiwan Taipei District Court shall be the court of exclusive jurisdiction for the first instance of any dispute arising out of these Terms or the Service. However, to the extent mandatory consumer-protection laws in your place of residence grant you the right to bring proceedings in your local courts, that right is not affected.
21.General
- Entire agreement: these Terms (together with the Privacy Policy and Cookie Policy) are the entire agreement between the parties regarding the Service and supersede all prior oral or written agreements.
- Severability: if any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
- No waiver: our failure or delay to exercise a right is not a waiver of it.
- Assignment: you may not assign your rights or obligations without our written consent; we may assign these Terms in connection with a merger, acquisition or transfer of assets.
- No agency: the parties are independent contractors; these Terms create no agency, partnership, joint venture or employment relationship.
- Language: these Terms are provided in Chinese and English; in case of any inconsistency, the Traditional Chinese version prevails.
